Welcome to CRCLE. These Terms of Service ("Terms") govern your access to and use of the CRCLE platform, including any website, mobile application, or other online service that links to these Terms (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Definitions
"CRCLE," "we," "us," and "our" refer to CRCLE Inc., a Delaware corporation.
"Issuer" refers to a business that uses the Service to raise capital by offering crcle Bonds.
"Investor" refers to an individual or entity that uses the Service to invest in crcle Bonds offered by Issuers.
"Mini-Bond" refers to a debt instrument offered by an Issuer through the Service, which provides for fixed interest payments and return of principal upon maturity.
3. Account Registration and Eligibility
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You must be at least 18 years old and able to form legally binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Investor Acknowledgments
If you are an Investor, you acknowledge that:
- All investments involve risk, and crcle Bonds are no exception.
- CRCLE does not guarantee the performance of any mini-bond or the ability of any Issuer to make interest payments or repay principal.
- You are solely responsible for conducting due diligence on any Issuer in which you invest and for making your own investment decisions.
- You may lose some or all of your investment, and you should only invest what you can afford to lose.
5. Issuer Obligations
If you are an Issuer, you agree to:
- Provide accurate, complete, and truthful information about your business and the crcle Bonds you offer.
- Use the funds raised through the Service for the purposes disclosed to Investors.
- Make all interest payments and principal repayments as required by the terms of your crcle Bonds.
- Promptly disclose to CRCLE and your Investors any material changes to your business that could affect your ability to meet your obligations under the crcle Bonds.
6. Privacy
Our Privacy Policy describes how we collect, use, and share information about you in connection with your use of the Service. By using the Service, you consent to our collection, use, and sharing of information as described in our Privacy Policy.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by CRCLE and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
9. Limitation of Liability
In no event shall CRCLE, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
